How to Cancel Your GST Registration Voluntarily: REG-16, Stock Reversal and the Final Return

You can ask for your GST registration to be cancelled if the business has closed, has been transferred or merged, has changed its constitution, or no longer needs to be registered, including when you registered voluntarily and want out. File Form GST REG-16 on the portal within 30 days of the event. Declare the stock you hold, and pay back the credit tied up in it. After the officer’s order, file the final return, GSTR-10, within three months. Cancellation closes the registration. It does not close what you owe for the period before it.

    Are you eligible to apply?

Section 29(1) allows cancellation on your own application where:

    • the business has been discontinued, fully transferred (including on the death of a proprietor, when legal heirs apply), amalgamated, demerged or otherwise disposed of;
    • there is a change in the constitution of the business, such as a proprietorship becoming a company with a new PAN; or
    • you are no longer liable to be registered under sections 22 or 24, or you want to opt out of a voluntary registration.

There is no minimum period. Under the original rules, someone who registered voluntarily could not cancel within the first year. That restriction was deleted from rule 20 in January 2018.

“No longer liable” needs care. If turnover has fallen below the limit but you still make inter-State sales of goods, or sell through an e-commerce operator that collects tax, section 24 may still require registration. Check that before you apply. If you would rather have the application, stock statement and follow-up handled for you, our GST registration service also takes care of cancellations.

    The process, in order

    1. Bring returns up to date. File every pending GSTR-1 and GSTR-3B up to the date you want cancellation from. Officers routinely query applications with gaps, and the outstanding returns have to be filed anyway.
    2. Take stock. List the inputs, semi-finished goods, finished goods and capital goods on hand on the date from which you want cancellation, with the credit you claimed on each.
    3. File REG-16. On the portal, go to Services, then Registration, then Application for Cancellation of Registration (the portal’s cancellation manual walks through the screens). Give the reason, the date from which you want cancellation, the stock details and the liability on them, and any payment already made.
    4. Registration is suspended at once. Under rule 21A, your registration is treated as suspended from the date of the application, or the date you asked for if that is later. While suspended you cannot issue tax invoices or charge GST, and you do not have to file GSTR-1 or GSTR-3B.
    5. The officer decides. If satisfied, the officer issues an order in Form REG-19 within 30 days of the application under rule 22, fixing the effective date and directing you to pay any tax, interest, penalty and the stock amount. The officer may first ask for clarification.
    6. File GSTR-10. See below.

Paying back credit on stock and capital goods

This is the part people underestimate. Section 29(5) requires a payment, from the cash or credit ledger, on everything still in stock on the day before cancellation:

    • Inputs, semi-finished and finished goods: the credit you took on them, or the tax that would be payable on them as output, whichever is higher.
    • Capital goods and plant and machinery: the credit you took, reduced by a prescribed percentage for each period of use, or the tax on their transaction value, whichever is higher.

For example, a retailer who claimed ₹40,000 of credit on goods still on the shelves, which would attract ₹46,000 of GST if sold today, pays ₹46,000. A services business with only a laptop and some furniture usually has a much smaller figure, but the calculation is still required.

If the business is being transferred as a going concern, the buyer can often take over the stock and credit instead. That is a different form and a different conversation, so settle it before filing REG-16.

    GSTR-10, the final return

Section 45 requires a final return within three months of the cancellation date or the date of the cancellation order, whichever is later. Rule 81 names the form: GSTR-10. It records the closing stock and the amount paid back under section 29(5).

Missing it is expensive relative to the effort. Section 47(1) charges a late fee of ₹100 a day under the central law, up to ₹5,000, and an equal amount generally applies under the State law. An unfiled final return can also prompt a notice assessing tax on the stock. Waivers have been announced for past periods from time to time, but do not plan around one.

The annual return is separate. If the business was above the annual-return threshold for the year in which it closed, that year’s GSTR-9 is still due by 31 December, even though the registration is cancelled.

    What cancellation does not do

    • It does not wipe the slate. Section 29(3) keeps you liable for tax and other dues for every period before cancellation, whether they are assessed before or after it. Notices about earlier years can still arrive.
    • It cannot be undone by revocation. Revocation under section 30 is only for registrations the officer cancelled on his own motion. For those, rule 23 allows an application in REG-21 within 90 days of the order, extendable by up to 180 days. If you asked for the cancellation, that door is closed. To trade again, you apply for a fresh registration.
    • It does not cancel your other registrations. Each GSTIN is cancelled separately. A business closing everywhere files for each State.

Changed your mind before the officer acts? The portal lets you withdraw a pending cancellation application. After the REG-19 order, the only way back is a new registration.

    Frequently asked questions

Can I cancel if I never started business after registering voluntarily?

Yes, on the same form. Note that the officer can also cancel on his own if a voluntary registrant has not started business within six months (section 29(2)(d)), so it is cleaner to apply yourself.

I have pending returns from two years ago. Can I still apply?

You can apply, but file the pending returns first where the portal allows it. Returns more than three years past their due date can no longer be filed, which leaves those periods open to assessment instead.

Does the stock payment apply to a services business?

It applies to any goods in stock and capital goods on which you took credit. Many service businesses have little or nothing to pay, but the declaration in REG-16 is still required.
