Which ROC Office Covers Your Company? ROC Jurisdiction by State After 2026

· Updated · 6 min read

On this page

Your company comes under the Registrar of Companies (ROC) for the place where its registered office is. Not where the founders live, not where the business operates, and not the office that processed your incorporation. In most states there is one ROC for the whole state. In a few, the state is now split between two or more ROCs by district, after a reorganisation that took effect on 16 February 2026.

The quickest way to confirm your ROC is to look up the company on the MCA portal: the company master data shows its ROC. The rest of this guide explains how the system fits together. If you are still incorporating, our private limited company registration service confirms the ROC from your office address before filing.

Three layers: CRC, ROC and Regional Director

OfficeWhat it does for your company
Central Registration Centre (CRC)Processes name reservations and incorporation applications for new companies and LLPs, from one central office
Registrar of Companies (ROC)Holds the company’s records after incorporation; receives its annual filings and event-based forms; issues notices; handles strike-off and many approvals
Regional Director (RD)Decides matters above the ROC’s level, such as shifting a registered office to another state or to another ROC’s area, and certain compounding and conversion applications

So a founder deals with the CRC once, at incorporation, and with the ROC for the life of the company. The MCA’s CRC FAQ sets out what the centre processes. The certificate of incorporation is issued for and on behalf of your jurisdictional ROC, which is why it names that ROC even though the CRC did the work.

The MCA also runs a Central Processing Centre for some post-incorporation filings, as it announced. That changes who examines a form, not which ROC your company belongs to.

How the registered office decides the ROC

Every company must have a registered office, and its address is recorded with the Registrar. The ROC whose area includes that address is the company’s ROC. Two consequences follow:

    • A company with operations in five states still has one ROC. Branches and factories elsewhere do not change it.
    • Moving the registered office can change the ROC. A move within the same ROC’s area needs a board or shareholder resolution and a filing. A move into another ROC’s area, even in the same state, or into another state, needs the Regional Director’s approval first.

What changed on 16 February 2026

The MCA reorganised several offices under section 396 of the Companies Act. According to the government’s announcement, three new Regional Directorates and six new ROCs started work from 16 February 2026. In outline:

    • Delhi: the old ROC for Delhi and Haryana was reorganised. Delhi now has two ROCs, South Delhi and Central Delhi, each covering a set of districts. Haryana has its own ROC, based in Chandigarh.
    • Uttar Pradesh: a second ROC was carved out of Kanpur to cover a set of western districts, including the Noida area.
    • Maharashtra: the Mumbai ROC was split into Mumbai-I and Mumbai-II, and a new ROC was announced for Nagpur. Pune continues separately.
    • West Bengal: Kolkata was divided into two ROCs.
    • Regional Directors: the Northern region was split between New Delhi and Chandigarh, the Western region between Mumbai and Navi Mumbai, and a new South-Western Regional Directorate was set up in Bengaluru for Karnataka, Kerala and Lakshadweep.

Existing companies in the affected areas were moved to the new ROC for their district. Check the company master data on the MCA portal to see which office your company’s records now sit with.

Two of the new offices shared an address with the older office when we checked. A separate address may follow, so the MCA page is the one to rely on.

    Where it matters in practice

    • Delhi founders: which of the two Delhi ROCs applies depends on the district of the registered office. That also means a move across the district line inside Delhi can now be a move between ROCs, with Regional Director approval. Our Delhi company registration page covers the local points.
    • Mumbai founders: Mumbai-I and Mumbai-II cover different districts of Maharashtra, so check which one your office address falls under. See registering a company in Mumbai.
    • Gurugram and Faridabad companies: they now come under ROC Haryana in Chandigarh, not a Delhi ROC, though many older guides still say otherwise.
    • Notices: if you receive a notice, it will name the issuing ROC. Reply to that office, through the MCA portal where the notice allows.

    Frequently asked questions

Do I ever need to visit the ROC?

Rarely. Incorporation and almost all filings are online. The ROC’s location matters mainly for notices, inspections and hearings.

Our company was registered before 2026. Did our ROC change?

Only if your registered office is in an area that was moved to a new ROC. Check the company master data on the MCA portal.

    Can I choose my ROC?

Not directly. It follows from the registered office address. Choosing the address decides the ROC.

Which ROC covers a company registered in Mumbai or Kolkata?

In Mumbai, the old ROC was split into Mumbai-I and Mumbai-II, which cover different districts of Maharashtra, so check which one your office address falls under; both are listed at 100 Everest, Marine Drive, Mumbai 400002. Kolkata was likewise divided into two ROCs, Kolkata-I and Kolkata-II, at Plot IIIF/16, AA-IIIF, Rajarhat, New Town, Kolkata 700135.
