For private limited company registration in Chennai, the incorporation itself is a national MCA process. Tamil Nadu sets the stamp duty, and the Greater Chennai Corporation collects two taxes from companies in its area.

Profession tax and company tax, both half-yearly, to the Greater Chennai Corporation
Tamil Nadu has two registries. A company with its registered office in Chennai comes under ROC Chennai. The state also has an ROC in Coimbatore, which keeps records for companies in some other districts.
If your office is outside Chennai, we confirm which of the two ROCs applies from your address before filing. The incorporation is processed online by MCA's Central Registration Centre either way.
Block 6, B Wing, 2nd Floor, Shastri Bhawan, 26 Haddows Road, Chennai 600034. As listed on the MCA website on 17 October 2026.
A Tamil Nadu GSTIN begins with 33.
AGILE-PRO-S covers state professional tax only in Maharashtra, Karnataka and West Bengal. Chennai's profession tax is registered with the Corporation.
Before you write to the ROC, check the current address on the MCA ROC contact page.
Both are levied under the Tamil Nadu Urban Local Bodies Act, 1998 and paid twice a year to the Greater Chennai Corporation (GCC).
Levied under section 117-B of the Act. GCC says every company doing business within its limits is liable. As an employer, the company also deducts it from salaries and pays it to GCC.
A separate half-yearly tax under section 91-A. GCC sets it on a scale based on the company's paid-up capital.
For profession tax registration online: the ROC certificate, the MoA, proof of an office in Chennai, PAN or bank details, and employer and employee details. GCC charges no fee to apply.
Under Tamil Nadu's amended law, an establishment with 10 or more workers applies for registration in Form Y within six months of starting business.
If your office is outside GCC limits, for example in a nearby municipality, the rules may differ. We confirm the current requirement for your company before filing.
The office proof does two jobs in Chennai. MCA needs it to incorporate the company, and GCC lists proof of a Chennai office as mandatory for profession tax registration.
So pick the address with care. A home, a rented unit or a shared office all work, as long as the bill, the rent agreement and the owner's NOC show the same address. If you plan to move soon, ask us first: a change of office later means fresh filings with both MCA and the Corporation.
We go through the structure, capital and office with you and confirm the fee for Tamil Nadu, including stamp duty.
Directors complete an online verification and receive their digital signatures.
We test your proposed names against MCA and trademark records and file SPICe+ Part A.
The e-MoA, e-AoA and Chennai office papers go in with SPICe+ Part B and AGILE-PRO-S. Tamil Nadu stamp duty is paid online in the same filing.
MCA issues the certificate with CIN, PAN and TAN. Then the company registers for profession tax with GCC.
Scans or clear photos are fine. You do not need to post anything.
We work online with founders across Chennai. Complianto has no office in Chennai. Our team works from Noida, and you share documents and sign digitally.
Choosing between southern cities? In Bangalore, the state collects professional tax and it goes in with the incorporation form; in Chennai the city corporation collects it.
