Overview

What company registration means

Company registration is the process of incorporating your business with the Ministry of Corporate Affairs (MCA). A private limited company or OPC is incorporated under the Companies Act, 2013, through the SPICe+ form. An LLP is registered under the Limited Liability Partnership Act, 2008.

Once registered, the business is a separate legal person. It can own property, open bank accounts and sign contracts in its own name, and it carries on when owners change. The whole process is online. You do not need to visit any office.

FAQs

Company registration FAQs

Talk to an expert

Which is better: a private limited company, an LLP or an OPC?

It depends on your plans. A private limited company suits co-founders who want investors. An LLP suits partners who want limited liability with a simpler structure. An OPC suits a single founder. See our detailed comparison.

How much does company registration cost?

Our professional fee is ₹1,499 for a private limited company, LLP or OPC. Government fees and stamp duty are extra and charged at actuals. They depend on the state of your registered office and the capital.

How many people do I need?

A private limited company needs at least 2 directors and 2 shareholders, who can be the same people. An LLP needs at least 2 designated partners. An OPC needs 1 member and a nominee.

Is there a minimum capital?

No. The law does not require a minimum paid-up capital for a private company, and an LLP needs no minimum contribution. The capital you choose affects the stamp duty and, above ₹15,00,000 authorised capital, the MCA filing fee.

Can I use my home as the registered office?

Yes. The registered office can be rented, owned or a residence, as long as it can receive letters. You need address proof, a recent utility bill and a no-objection certificate from the owner.

Can an NRI or a foreign national be a director?

Yes, in a private limited company, as long as at least one director is resident in India for 182 days or more in the financial year. An OPC's member and nominee must be Indian citizens. See foreign national directors.

Do I need to visit a government office?

No. The whole process is online on the MCA portal, and documents are signed with digital signatures.

What do I get after registration?

The certificate of incorporation with your registration number, the PAN and TAN, and the DIN of each director or designated partner. A company also gets its MoA and AoA.

Is Complianto a government body or a CA firm?

Neither. Complianto is a compliance facilitation platform operated by Mentorcorp Private Limited. You can also apply directly on the official portal without our fee.
