Every company must have a registered office where it can receive official letters and notices. Its address is recorded with the Registrar of Companies (ROC).
When the office moves, the company tells the ROC in Form INC-22 within 30 days of the change. Some moves also need shareholder or government approval first.
| Move | Approval | Filings |
|---|---|---|
| Within the same city, town or village | Board resolution | Form INC-22 within 30 days |
| Outside the city, same state, same ROC | Special resolution of shareholders | Form MGT-14 for the resolution, then Form INC-22 |
| Same state, to an area under a different ROC | Special resolution, then approval of the Regional Director (Form INC-23) | The approval order is filed with the ROC, then Form INC-22 |
| To another state | Special resolution altering the MOA, then approval of the Regional Director (Form INC-23) | The approval order is filed in Form INC-28 within 30 days of the order, then Form INC-22 |
