Overview

What the MOA and AOA contain

The memorandum of association (MOA) sets out the company's basic details, including its name, registered office state, objects and capital. The articles of association (AOA) set out how the company is run.

Both can be changed by a special resolution of the shareholders. The resolution is filed with the Registrar of Companies (ROC) in Form MGT-14 within 30 days.
