Overview

Why the registered office matters

Every company must have a registered office where it can receive official letters and notices. Its address is recorded with the Registrar of Companies (ROC).

When the office moves, the company tells the ROC in Form INC-22 within 30 days of the change. Some moves also need shareholder or government approval first.

Which case applies

Four ways to move a registered office

MoveApprovalFilings
Within the same city, town or villageBoard resolutionForm INC-22 within 30 days
Outside the city, same state, same ROCSpecial resolution of shareholdersForm MGT-14 for the resolution, then Form INC-22
Same state, to an area under a different ROCSpecial resolution, then approval of the Regional Director (Form INC-23)The approval order is filed with the ROC, then Form INC-22
To another stateSpecial resolution altering the MOA, then approval of the Regional Director (Form INC-23)The approval order is filed in Form INC-28 within 30 days of the order, then Form INC-22

We confirm which case applies to your move, and the current filing steps, before we prepare anything.

Documents

Documents for the new address

  • Proof of the new premises, such as a rent agreement or sale deed
  • A recent utility bill for the new address
  • No-objection letter from the owner, if the premises are rented
  • Board resolution, and the shareholders' resolution where needed
  • A valid digital signature (DSC) of a director
Moving to another state

Extra steps for an inter-state move

  • Special resolution to alter the registered office clause of the MOA
  • Application to the Regional Director in Form INC-23
  • Filing the approval order with the ROC in Form INC-28

An inter-state move takes longer. Plan it before the lease on your current office ends.

Talk to an expert

What is the time limit to file Form INC-22?

File Form INC-22 with the ROC within 30 days of the change in the registered office.

Do shareholders need to approve the move?

Not for a move within the same city, town or village, where a board resolution is enough. A move outside it needs a special resolution of the shareholders.

Can a company move its registered office to another state?

Yes. It needs a special resolution altering the MOA and approval of the Regional Director, applied for in Form INC-23.

Can the registered office be a rented place?

Yes. Keep the rent agreement and a no-objection letter from the owner, along with a recent utility bill.

Do we need to change our GST registration?

Yes, update the address in your GST registration. If you move to another state, you need a GST registration in the new state.

Is Complianto a government body or a CA firm?

Neither. Complianto is a compliance facilitation platform operated by Mentorcorp Private Limited. You can also file directly on the MCA portal without our fee.
