Charges

Registering a charge

When a company secures a loan against its assets, for example with a bank, the charge is registered with the ROC in Form CHG-1 within 30 days of its creation. A change in its terms is filed the same way.

When the loan is repaid, the company reports the satisfaction of the charge in Form CHG-4 within 30 days, so the charge is closed on the MCA record.

Company changes FAQs

Talk to an expert

Which company changes must be reported to the ROC?

Common ones include changes in directors, an increase in authorised capital, a new registered office, a name change, changes to the MOA or AOA, and the creation or satisfaction of charges.

Are these the same as annual filings?

No. Annual filings are made every year. These are event-based filings, made when a change happens.

What is Form MGT-14?

The form used to file certain resolutions with the ROC, including special resolutions. It is filed within 30 days of the resolution.

What happens if a change is reported late?

MCA charges additional fees for late filing, and the company and its officers can face penalties.

Who signs the ROC forms?

A director of the company signs with a valid digital signature (DSC). Some forms are also certified by a practising professional.

Is Complianto a government body or a CA firm?

Neither. Complianto is a compliance facilitation platform operated by Mentorcorp Private Limited. You can also file directly on the MCA portal without our fee.
