Overview

How a company changes its name

A company can change its name with the approval of its shareholders by special resolution and the approval of the Registrar of Companies (ROC).

The new name is checked and reserved on the MCA portal first. Once the change is approved, the ROC issues a fresh certificate of incorporation in the new name.

Before you apply

Check these first

Filings up to date

The company should have filed its annual returns and financial statements that are due. MCA does not allow a name change while these are in default.

Deposits and debentures

Matured deposits, debentures and the interest on them should be paid. A default here also blocks a name change.

An available name

The new name must not be identical or too similar to an existing company, LLP or registered trademark. See trademark registration to protect it as a brand.
